ARTICLE IX. FEDERATION DELEGATES TO OTHER ORGANIZATIONS
Federation delegates to meetings of other organizations shall be selected by the President in consultation with the other members of the Executive Committee. Federation delegates to meetings of other organizations held within the United States shall be reimbursed for all reasonable expenses connected with their duties.
ARTICLE X. EXECUTION OF INSTRUMENTS
A. Checks and Drafts. All checks and drafts, and orders for payment of monies shall be signed in the name of the Federation and in its behalf, by the Treasurer and/or the President in accordance with Article V, Section H, hereof, or otherwise by such officer or agents as the Federation may from time to time designate.
B. Contracts and Conveyances. When the execution of any contract, conveyance, or other instrument, has been authorized by the Board of Directors of the Federation without specification as to the executing officer, the President, in accordance with Article V, Sections F and G, hereof, may execute the same in the name and on behalf of the Federation.
ARTICLE XI. SEAL
The seal of the Federation shall consist of two concentric circles, with the words “National Federation of Modern Language Teachers Associations, Inc.” displayed in the space between the two circles, or as many of such words as space therein shall permit, with the remainder of such words, if any, displayed within the inner circle, and the words “Corporate Seal” also displayed in the inner circle.
ARTICLE XII. FISCAL YEAR
The fiscal year of the Federation and all its instrumentalities including but not limited to the MLJ shall be from July 1 through June 30. Regular terms of all officers and agents of the Federation shall coincide with the calendar year with the exception of that of the Treasurer, which shall coincide with the NFMLTA fiscal year.
ARTICLE XIII. DISSOLUTION OR FINAL LIQUIDATION
Dissolution or final liquidation of the Federation shall take place and the distribution of assets shall proceed as provided in Article Seventh of the Federation’s articles of incorporation.
